Kathryn McCall is an associate in the Corporate Practice Group of Carr & Ferrell. Ms. McCall specializes in corporate and securities work with an emphasis on equity financings, debt transactions, securities matters, mergers and acquisitions and general business matters. Ms. McCall also has significant experience counseling corporations, partnerships, and limited liability companies in connection with all aspects of operations, including corporate governance, acquiring and licensing technology and intellectual property, joint ventures, strategic alliances, employment matters, and equity incentive plans. Ms. McCall also represents emerging companies in connection with entity formation issues, day-to-day operations, and licensing and other technology related matters.

Prior to joining Carr & Ferrell, Ms. McCall was a litigation associate for a firm in San Francisco and a District Adjudications Officer for the Immigration and Naturalization Service. While in law school, Ms. McCall studied abroad at Trinity University in Dublin, Ireland and at Charles University in Prague, The Czech Republic. Additionally, while pursuing her undergraduate degree, Ms. McCall studied at Trinity Hall in Cambridge University.

Ms. McCall is an avid runner who has completed three marathons and regularly competes in half marathons, across the country. She also serves on the board of Nepal Street Animal Rescue, a charitable organization working to end the suffering of an estimated 35,000 street dogs in the Katmandu Valley area.

  • Common Point, Inc. - Represented Common Point, Inc. in the sale of substantially all of its assets to Bentley Systems, Inc.
  • Palo Alto Medical Foundation for Health Care, Research, and Education (PAMF) – Represented PAMF in the acquisition of substantially all of the assets of Enigma CKM, Inc.
  • Aeluros, Inc. - Represented Aeluros, Inc. in connection with its acquisition by NetLogic Microsystems, Inc.
  • Raydiance, Inc. – Act as general corporate and intellectual property counsel for this venture-backed next generation ultra short pulse laser company.
  • Nexxo Financial Corporation - Act as general corporate and intellectual property counsel for this venture-backed company which provides technology-based financial services for international monetary remittance.
  • Xora, Inc. – Act as general corporate and intellectual property counsel for this venture-backed company which delivers location-based mobile workforce management solutions that allow its customers to realize improved productivity, reduce the cost of field operations and provide better customer service. Represented Xora, Inc. in its merger with Gearworks, Inc. and the purchase of substantially all of the assets of scalable or Systems, Inc.
  • Victory Metals, Inc. – Act as general corporate counsel for the U.S. subsidiary of this Australian based supplier of commodities and raw materials.
  • Annie Chun’s, Inc., - Acted as general counsel for this manufacturer of Asian-style instant food products, including representing the company in the sale of 70% of its capital stock to CJ Corporation, the largest food and entertainment company in South Korea.
  • Angstron, Inc. – Acted as general corporate and intellectual property counsel for this venture-backed developer of atomic layer deposition technology for advanced semiconductor manufacturing, including representing the company in connection with its acquisition by Novellus Systems, Inc.
  • Quality Clinical Laboratories Inc. - Represented this company in connection with its acquisition by SRI International.
  • Discern Communications, Inc. - Acted as general counsel and intellectual property counsel for this developer of voice recognition technologies, including representing the company in connection with its merger with Spanlink Communications, Inc., the leading IP contact center solutions provider.
  • Kerbango, Inc. – Acted as general corporate and intellectual property counsel for this venture-backed internet appliance developer, including representing the company in connection with its acquisition by 3Com for approximately $80 million.
  • Co-Design Automation, Inc. - Acted as general corporate and intellectual property counsel for this UK-based venture-backed provider of verification and system-on-a-chip design technology, including representing the company in connection with its acquisition by Synopsys for approximately $36 million.
